Business Law
At the law firm our business clients come to us with a variety of needs from the very basic to the comprehensive. We have the knowledge and experience to assist our clients with a variety of business needs including:
  • The best way to organize.
  • How to include asset protection in the business plan.
  • How to approach a deal (includes-at no extra charge-when to walk away).
  • Day-to-day business activities like contracts, compliance, tax planning, and more.
  • Non-compete agreements, shareholder agreements, operating agreements, buy-sell agreements.
  • Purchasing or selling a business.
  • Creating effective strategies for commencing or, when possible, avoiding litigation.

A few special words about contracts.

"What usually comes first is the contract."
Ira Gershwin, American Songwriter.

"A verbal contract isn't worth the paper its written on."
Samuel Goldwyn, 1882-1974, American Film Producer, Founder, MGM.

One of the biggest misunderstandings regarding attorneys is that they are too expensive.  It is not the attorneys that are expensive, it is the cost of dealing with the other side after failing to invest a minimal sum in having an attorney look over the contract in the first place.  Any attorney worth his or her salt can tell quickly by looking at the contract where the problems lie.  Even if the fee to the attorney to look over the contract is $500 or $1,000, isn't this a fair sum to invest before you put your entire life savings at risk?  We have seen people happily part with hundreds of thousands of dollars in their business dealings without ever showing the contract to an attorney!

Look at it this way:
"A good attorney is a small investment; too often, no attorney results in an enormous "investment; the kind that results in a total loss."
Steven Rubin, Attorney, Musician, Philosopher.

Remember:
"Look twice before you leap."
Charlotte Bronte, 1816-1855, British Novelist.

Every year many lawsuits are filed against individuals over business related conflicts. Often the best way for an individual to protect himself from lawsuits directed at his business is to form, AND THEN PROPERLY USE, a business entity. A business entity, when properly formed and used, provides a means to organize and operate a business so the assets of the owner, or owners, are not vulnerable to judgment creditors of the company. We assist our clients in the creation, organization, operation and related planning of various types of business entities, principal among which include:

  • Corporations
  • Limited Liability Companies (LLCs)
  • Partnerships
  • Limited partnerships

"Men never plan to be failures; they simply fail to plan to be successful."
William A. Ward, 1921-;

"There is always room at the top."
Daniel Webster, 1782-1852, American Lawyer, Statesman.

The success or failure of a business often lies in the planning. Part of planning a new business should include consulting with a business attorney with a strong reputation. It has been our experience that investing a modest amount of money in good legal advice at the start of a business can save the business owner from large problems, failed businesses, and avoidable lawsuits. Benjamin Franklin said it best, "an ounce of prevention is worth a pound of cure."
